{"id":707,"date":"2026-08-21T16:57:46","date_gmt":"2026-08-21T14:57:46","guid":{"rendered":"https:\/\/jpsemnetworkers.co.za\/home\/?page_id=707"},"modified":"2026-08-23T00:05:08","modified_gmt":"2026-08-22T22:05:08","slug":"terms-and-conditions-jpsem-networking-pty-ltd","status":"publish","type":"page","link":"https:\/\/jpsemnetworkers.co.za\/home\/terms-and-conditions-jpsem-networking-pty-ltd\/","title":{"rendered":"Terms and Conditions"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>GENERAL TERMS AND CONDITIONS OF SERVICE<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These General Terms and Conditions (&#8220;Terms&#8221;) govern the provision of internet access and related telecommunications services (&#8220;Services&#8221;) by Jpsem Networking (Pty) Ltd (&#8220;JPSEM&#8221;, &#8220;we&#8221;, &#8220;us&#8221;, &#8220;our&#8221;) to any person or entity that applies for, subscribes to, or uses the Services (&#8220;Customer&#8221;, &#8220;you&#8221;, &#8220;your&#8221;). By signing an Order Form, activating a Service, or continuing to use the Services, you agree to be bound by these Terms, together with any applicable Service Schedule, Acceptable Use Policy, and Service Level Agreement, which are incorporated by reference.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">1. Definitions and Interpretation<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.1 &nbsp;<\/strong>&#8220;Agreement&#8221; means these Terms, the Order Form, any Service Schedules, the Acceptable Use Policy (AUP), and any annexures, read together.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.2 &nbsp;<\/strong>&#8220;Services&#8221; means the internet connectivity, data, hosting, and\/or related telecommunications services provided by JPSEM as set out in the applicable Order Form.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.3 &nbsp;<\/strong>&#8220;Equipment&#8221; means any router, modem, ONT, cabling, or other hardware supplied or installed by JPSEM at the Customer&#8217;s premises.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.4 &nbsp;<\/strong>&#8220;Order Form&#8221; means the application, quotation, or online sign-up form completed by the Customer specifying the selected Service package, pricing, and term.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.5 &nbsp;<\/strong>&#8220;Fair Usage Policy&#8221; or &#8220;FUP&#8221; means the traffic management policy referred to in clause 6.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.6 &nbsp;<\/strong>Words importing the singular include the plural and vice versa, and reference to natural persons includes juristic persons.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">2. The Services<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.1 &nbsp;<\/strong>JPSEM will use reasonable endeavours to provide the Services described in the Order Form, subject to technical and geographic feasibility, network capacity, and third-party infrastructure availability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.2 &nbsp;<\/strong>Service speeds (upload\/download) advertised or quoted are best-effort and represent the maximum achievable rate under ideal conditions; actual throughput may vary due to line quality, contention ratios, distance from infrastructure, in-premises wiring, Wi-Fi interference, and factors outside JPSEM&#8217;s control.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.3 &nbsp;<\/strong>JPSEM does not guarantee uninterrupted, error-free, or completely secure Services, but will take reasonable steps to maintain network availability in line with any applicable Service Level Agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.4 &nbsp;<\/strong>Installation timelines are estimates only and depend on site survey outcomes, third-party network operator lead times, and access to the installation site.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">3. Registration, Account and Eligibility<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.1 &nbsp;<\/strong>The Customer warrants that all information supplied on the Order Form is true, accurate, and complete, and undertakes to notify JPSEM promptly of any changes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.2 &nbsp;<\/strong>Services may not be sold, resold, ceded, or sub-let to a third party without JPSEM&#8217;s prior written consent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.3 &nbsp;<\/strong>The Customer is responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under their account.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">4. Fees, Billing and Payment<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.1 &nbsp;<\/strong>The Customer agrees to pay the monthly subscription fee, once-off installation fee, and any other charges set out in the Order Form, exclusive of VAT unless stated otherwise.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.2 &nbsp;<\/strong>Fees are payable monthly in advance by debit order, EFT, or such other payment method as JPSEM may accept, on or before the due date reflected on the invoice.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.3 &nbsp;<\/strong>Failure to pay any amount by the due date may result in a late payment charge, suspension of the Services under clause 9, and\/or handover to a debt collection agency, with all associated legal and collection costs for the Customer&#8217;s account.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.4 &nbsp;<\/strong>JPSEM may amend its fees from time to time by giving the Customer no less than 20 (twenty) days&#8217; written notice. Continued use of the Services after the effective date of the change constitutes acceptance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.5 &nbsp;<\/strong>Any dispute regarding an invoice must be raised in writing within 14 (fourteen) days of the invoice date, failing which the invoice is deemed accepted.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">5. Contract Term, Renewal and Cancellation<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.1 &nbsp;<\/strong>The Service term is as specified on the Order Form (e.g. month-to-month or a fixed term of 12\/24 months). Fixed-term contracts automatically renew on a month-to-month basis on expiry unless either party gives written notice.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.2 &nbsp;<\/strong>Either party may cancel a month-to-month Service by giving no less than 30 (thirty) days&#8217; written notice.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.3 &nbsp;<\/strong>Early cancellation of a fixed-term contract prior to expiry may attract an early termination fee calculated as the lesser of the outstanding monthly subscription fees for the remainder of the term, or such amount as set out in the Order Form.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.4 &nbsp;<\/strong>On termination for any reason, any subsidised or rented Equipment must be returned to JPSEM in good working order within 14 (fourteen) days, failing which the Customer will be charged the replacement value of the Equipment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.5 &nbsp;<\/strong>JPSEM may suspend or terminate the Agreement immediately, without liability, if the Customer breaches clause 6 (Fair Usage) or clause 7 (Acceptable Use), commits fraud, or fails to remedy a payment default within 7 (seven) days of written notice.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">6. Fair Usage and Network Management<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.1 &nbsp;<\/strong>Uncapped Services are subject to JPSEM&#8217;s Fair Usage Policy, which may apply traffic shaping, prioritisation, or temporary speed reduction to users who generate excessive or disproportionate traffic, particularly during periods of network congestion.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.2 &nbsp;<\/strong>JPSEM may implement reasonable network management practices to protect network integrity, security, and quality of service for all customers, provided such practices do not unreasonably discriminate between customers of the same Service tier.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">7. Acceptable Use Policy<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.1 &nbsp;<\/strong>The Customer must not use the Services to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Transmit unlawful, defamatory, obscene, or infringing content;<\/li>\n\n\n\n<li>Distribute malware, conduct hacking, denial-of-service attacks, or unauthorised network intrusion;<\/li>\n\n\n\n<li>Send unsolicited bulk communications (spam);<\/li>\n\n\n\n<li>Infringe the intellectual property rights of any third party; or<\/li>\n\n\n\n<li>Engage in any activity that is illegal under South African law or that threatens network security or the rights of other users.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.2 &nbsp;<\/strong>JPSEM reserves the right to investigate suspected violations and to suspend or terminate Services where a violation is confirmed, without prejudice to any other remedy.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">8. Equipment<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.1 &nbsp;<\/strong>Where Equipment is provided on a rental or loan basis, ownership remains with JPSEM at all times and the Customer may not sell, encumber, or modify it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.2 &nbsp;<\/strong>Where Equipment is sold to the Customer, risk and any manufacturer warranty pass to the Customer on delivery.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.3 &nbsp;<\/strong>The Customer is responsible for providing a suitable power supply and environment for the Equipment and will be liable for repair or replacement costs arising from misuse, negligence, or tampering.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">9. Suspension of Services<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>9.1 &nbsp;<\/strong>JPSEM may suspend the Services, without liability, where: the Customer is in payment default; the Customer breaches the AUP; suspension is required by law or a competent authority; or suspension is reasonably necessary to protect network integrity or perform maintenance.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>9.2 &nbsp;<\/strong>Where reasonably possible, JPSEM will give the Customer prior notice of planned maintenance likely to interrupt the Services.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">10. Limitation of Liability<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>10.1 &nbsp;<\/strong>To the maximum extent permitted by law, JPSEM&#8217;s total liability to the Customer arising out of or in connection with the Agreement, whether in contract, delict, or otherwise, is limited to the total fees paid by the Customer in the 3 (three) months preceding the event giving rise to the claim.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>10.2 &nbsp;<\/strong>JPSEM will not be liable for any indirect, special, or consequential loss, including loss of profits, loss of data, or loss of business, arising from the use of or inability to use the Services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>10.3 &nbsp;<\/strong>Nothing in this Agreement limits liability for gross negligence, fraud, or any liability that cannot lawfully be excluded or limited under South African law, including the Consumer Protection Act 68 of 2008 where applicable.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">11. Force Majeure<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>11.1 &nbsp;<\/strong>Neither party will be liable for any delay or failure to perform its obligations (other than payment obligations) resulting from causes beyond its reasonable control, including load-shedding, network operator or fibre infrastructure outages, cable theft, natural disasters, civil unrest, or acts of government.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">12. Data Protection and Privacy<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.1 &nbsp;<\/strong>JPSEM will process the Customer&#8217;s personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and JPSEM&#8217;s Privacy Policy, available on request or on JPSEM&#8217;s website.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.2 &nbsp;<\/strong>Personal information collected will be used only for purposes reasonably related to providing, billing, and supporting the Services, and for compliance with applicable law, including RICA registration requirements.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">13. Amendments to these Terms<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>13.1 &nbsp;<\/strong>JPSEM may amend these Terms from time to time. Material changes will be communicated to the Customer at least 20 (twenty) business days before taking effect, by email, SMS, or notice on invoices. Continued use of the Services after that date constitutes acceptance of the amended Terms.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">14. General<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>14.1 &nbsp;<\/strong>Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>14.2 &nbsp;<\/strong>Severability: If any provision of this Agreement is found unlawful or unenforceable, the remaining provisions will continue in full force and effect.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>14.3 &nbsp;<\/strong>No Waiver: No failure or delay by either party in exercising any right under this Agreement operates as a waiver of that right.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>14.4 &nbsp;<\/strong>Governing Law: This Agreement is governed by the laws of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>14.5 &nbsp;<\/strong>Notices: Any formal notice under this Agreement must be in writing and delivered by email or registered post to the addresses specified on the Order Form.<\/p>\n\n\n\n<h1 class=\"wp-block-heading\">15.
